Voo
Terms of Service
Last updated: September 11, 2026
These Terms of Service (“Terms”) govern access to and use of the Voo website at voo.dev, the Voo application at app.voo.dev, and related services (together, the “Service”) provided by Ellington Marketing, LLC, doing business as Voo (“Voo”, “we”, “us”). By creating an account or using the Service you agree to these Terms on behalf of yourself and, where applicable, the organization you represent.
1. The Service
Voo is business software for agencies and service teams to manage work, clients, billing, advertising, and AI-assisted delivery. Access to the App requires an account provisioned by a workspace owner or administrator. You must be at least 18 and able to form a binding contract.
2. Accounts and workspaces
You are responsible for the accuracy of your account information, for keeping credentials confidential, and for all activity under your account. Workspace owners and administrators are responsible for the members they invite, the roles they grant, and the content their workspace stores.
3. Your content
You retain ownership of everything you upload or create in the Service (“Content”). You grant Voo a limited license to host, process, transmit, and display Content solely to provide the Service to you, including sending it to the AI models and connected platforms you choose. You represent that you have the rights needed to grant this license and that your Content does not violate law or third-party rights.
4. Connected platforms
The Service can connect to third-party platforms, including Meta, Google Ads, Stripe, FreeScout, Slack, GitHub, hosting providers, and others, using credentials you supply or authorizations you grant. You are responsible for being authorized to connect those accounts and for complying with each platform’s terms. Actions performed on connected platforms through the Service, including advertising changes, are performed at your direction and only after approval by a user with permission to approve them.
5. AI features
The Service uses third-party AI models selected by you or by default settings. AI output can be inaccurate, incomplete, or unsuitable, and you are responsible for reviewing it before relying on it or publishing it. Voo does not use your Content to train models. Agent actions that change the outside world require human approval in the Service; you agree not to disable those safeguards where the Service provides them.
6. Acceptable use
You will not: use the Service unlawfully or to infringe others’ rights; attempt to access data, accounts, or systems you are not authorized to access; probe, scan, or disrupt the Service; upload malware; misuse connected platform APIs or violate their policies; send spam or unsolicited messages through the Service; or resell the Service except as permitted by a written agreement with us.
7. Fees and payment
Paid plans, if any, are billed as described at the time of purchase. Fees are non-refundable except as required by law. Invoices and payments you process through the Service to your own clients are between you and your client; Voo is not a party to them and Stripe’s terms apply to card processing.
8. Privacy
Our Privacy Policy explains how we handle personal data and forms part of these Terms. Where you load personal data of your clients or their customers into the Service, you are the controller and Voo processes it on your instructions.
9. Intellectual property
The Service, including its software, design, and documentation, is owned by Voo and its licensors and protected by intellectual-property law. You may not copy, modify, reverse-engineer, or create derivative works of the Service except as permitted by law or a separate license. Feedback you give us may be used without obligation.
10. Suspension and termination
You may stop using the Service at any time and request deletion of your data per our Data Deletion Instructions. We may suspend or terminate access for breach of these Terms, for legal reasons, or to protect the Service and its users, with notice where practical. Sections that by their nature should survive termination do.
11. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that AI output or connected-platform data will be accurate.
12. Limitation of liability
To the fullest extent permitted by law, Voo will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from the Service or from actions taken on connected platforms at your direction. Our total liability for any claim will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or one hundred US dollars if you paid nothing.
13. Indemnity
You will defend and indemnify Voo against claims arising from your Content, your use of the Service in breach of these Terms, or your violation of law or third-party rights, including the terms of connected platforms.
14. Governing law and disputes
These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in North Carolina, and you consent to their jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.
15. Changes
We may update these Terms. We will post the new version here and update the date above; for material changes we will notify account holders by email or in the App. Continued use after the effective date constitutes acceptance.
